OFFICIAL RULES for “Atlanta’s NDaGame Entertainment Black College Football Tailgating Tour” Unsigned Artist Contest

NO PURCHASE NECESSARY TO ENTER OR WIN.

1.        DESCRIPTION OF THE CONTEST: The “Atlanta’s NDaGame Entertainment Black College Football Tailgating
Tour” Unsigned Artist Contest ("Contest") is an online original song competition sponsored by Promotions nXs
(“Promotions nXs”), P.O. Box 66336, Mobile, AL 36660. This Contest is designed to give an unsigned Hip Hop, R&B, or
Pop artist the opportunity to participate in a five-city tour organized by Atlanta’s NDaGame Entertainment
(www.ndagameentertainment.com). The contest will flow as follows:
  • Contest "Submission Period": The contest Submission Period begins on or about 12:00 a.m. June 14, 2009 and
    ends on June 28, 2009 at 11:59 p.m. Central Time ("CT").
  • "Voting Period": On or about July 1, 2009 through July 30, 2009, at 11:59 p.m. CT visitors to the Promotions nXs
    contest website (“Voters”) will have the opportunity to vote for their favorite Submission to determine the Top Five
    (5) Finalists.
  • Contest Judging: On or about July 31, 2009, five (5) finalists will be contacted to confirm eligibility. A three-
    member panel will judge all eligible "Submissions" (as defined below) according to the criteria in Section 7 of the
    Official Rules.
  • Winner Announcement: The winner will be announced on or about August 7, 2009.

2.        ELIGIBILITY: This contest is open to all individuals at least eighteen (18) years of age at time of entry and legal
residents of Alabama, Arkansas, Florida, Georgia, Kentucky, Louisiana, Mississippi, North Carolina, South Carolina,
Tennessee, or Texas who submit original songs. The entrant must be willing and able to make travel and/or
accommodation arrangements for the specified tour dates. This Contest is void where prohibited by law, or where the
registration or filing requirements of any state or local jurisdictions have not been complied with. No members,
employees, or affiliates of Promotions nXs (collectively, the “Contest Entities”) are eligible, including members of their
immediate families and/or households.

3.        HOW TO ENTER: To enter, an entrant must visit www.promotionsnxs.com/contests (“Website”) and complete the
following steps: (a) Read and agree with these Official Rules – Submission of an entry into this Contest confirms your
agreement with these Official Rules; (b) Submit an email to contest_entry@promotionsnxs.com with the following
information: Subject Line: “Unsigned Artist Contest Entry”; The email must include your name, current address, date of
birth, valid email address, telephone number, artist/band name, song title, and artist/band website; (c) Contestants may
submit up to one (1) radio edited original song (“Submission”) in MP3 file format with a quality of  at least 192kbps. Files
must be named Artist/Band-SongTitle(Mix).mp3. Files larger than 8MB will not be accepted; (d) Contestants may also
submit a photo. Duplicate submissions will result in disqualification. Contestants may, upon written request, exchange
songs once during the submission period. No exchanges will be allowed once voting has started. Frequently asked
questions may be found at www.promotionsnxs.com/contestfaqs. All unanswered questions may be directed to
contest_questions@promotionsnxs.com.

4.        SONG SUBMISSION REQUIREMENTS.
      The Submission must meet the following guidelines:
  • Submission must be an original song.
  • Submission must be submitted as an mp3 with a quality of at least 192kbps.
  • Submission must be no larger than 8MB in size.
  • Submission must be named Artist/Band-SongTitle(Mix).mp3 (Example: GSBoyz-StankyLegg(Radio).mp3).
  • Submission must be accompanied by all required information.

   The Submission must meet the following content restrictions:
  • Submission must be a Radio Mix that does not contain material which is (or promoting activities which are)
    sexually explicit, obscene, pornographic, violent, self-mutilating, discriminatory, illegal, offensive, threatening,
    profane, or harassing; or material that contains any derogatory references to any Contest Entities;
  • All songs must be originally created material. No unauthorized use of copyrighted material from any other source
    may be used. By entering the Contest, each Entrant represents that he or she is the sole and exclusive owner
    and rights holder of the Submission. The songs cannot contain any commercial endorsements.
  • Submission must NOT have been previously submitted to another Contest, broadcast on a media network or
    submitted to any entertainment entity that would conflict with this Contest, as determined in the Contest Entities'
    sole discretion;
  • Submissions must comply with the Website's Terms of Use; and
  • Submissions must NOT include third parties/people, who have not expressly authorized Entrant to feature their
    image, likeness or voice in the Submission or otherwise use such image, likeness or voice in accordance with
    these Contest Rules. Third Parties include but are not limited to celebrities, friends and minors who have not
    obtained parental consent prior to such participation. Entrants should be able to provide on request all
    appropriate clearances, permissions and releases for the Submission, including releases from all persons
    featured in the Submission (in the event an entrant cannot provide all required releases, Sponsor reserves the
    right, in Sponsor's sole discretion, to disqualify the applicable Submission).

The foregoing requirements/restrictions will be strictly enforced and any submissions that do not, in Contest             
Entities'  sole discretion, comply with all of the foregoing requirements will be disqualified.

5.        SUBMISSION RIGHTS AND LICENSES: Contestants retain all ownership rights of music submitted for the contest
if contestant is the sole creator of said Submission. However, by entering a Submission into this Contest, contestants
hereby grant to Contest Entities a worldwide, non-exclusive, non-restrictive, royalty-free, sub-licensable, and
transferable license to use, reproduce, distribute, transmit, make available, prepare derivative works of, display, and
perform the contest music (including any title of the Submission, entrant's name and/or likeness), and any audio and/or
visual excerpts thereof, in connection with the Contest, on Contest Entities' websites (and all places where some or all of
the content from Contest Entities' websites is available), and otherwise in connection with any of Contest Entities' current
and/or future businesses, including without limitation to promotion or redistribution of part or all of contest music (and
derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of
Contest Entities' websites a non-exclusive license to access and view the contest music. Additionally, contestants grant
Contest Entities all rights to use Submission, contestant's image, likeness, voice, name, and photograph in correlation
with the contest music in any publicity or advertising relating to the contest music, Contest Entities and/or the Contest,
without compensation or further approval. Contest Entities are not responsible for unauthorized copying and/or use of
contestants' content posted on Contest Entities' websites.


6.        VOTING PERIOD: Eligible Submissions will be placed on the Promotions nXs website during the Voting Period.
Visitors to the Website will have the opportunity to vote for their favorite Submission according to the visitor's judgment
and interpretation of the creative content. Submissions will be judged solely on the subjective opinions of the visitors
who choose to participate in the voting process. Visitors will be able to vote for their favorite Submission by following the
on-screen prompt to take them to the voting page. There is a limit of one (1) vote per visitor. The Top 5 Submissions
receiving the most votes will be declared the Finalists. These Finalists will advance to the final judging phase, pending
confirmation of eligibility.


7.        CONTEST JUDGING:  The Submissions of the Top 5 Eligible Finalists will be evaluated by a panel of judges
selected by Contest Entities (“Judging Panel”). The Panel will judge each Submission based on the following equally
weighted criteria: originality, lyrics, production, and audience appeal. In the event of a tie, Contest Entities will host a 24-
hour “Final Voting Period” in which the public will be allowed to vote for their favorite tied Submissions. One (1) Grand
Prize winner will be selected at the culmination of all voting and judging. All decisions of the Contest Entities are final and
binding.


8.        PRIZE (1): One (1) Grand Prize winner will receive an “Atlanta's NDaGame Entertainment Black College Football
Tailgating Tour” Basic Membership package. The winning entity will become a registered member of  a five (5) city tour
which will take place in Nashville, TN; Memphis, TN; Columbus, GA; Mobile, AL; and Jackson, MS on dates between
September 5, 2009 and November 21. 2009. The winner agrees to be bound by the terms and conditions set forth by
Atlanta's NDaGame Entertainment (www.ndagameentertainment.com) with respect to participation in the tour. These
terms and conditions will be provided to the winner prior to completion of the Winner Documents. No substitution or
transfer of the prize is permitted by the winner; however, Contest Entities reserve the right to substitute prize of equal or
greater value. If a prize is awarded but unclaimed/forfeited by recipient, prize may not be re-awarded, at the sole
discretion of the Contest Entities. Any additional costs relating to the acceptance of prize, including but not limited to
travel and accommodations, is the sole responsibility of the winner.


9.        WINNER NOTIFICATION: The winner, as determined by the above mentioned process, will be notified on or
around August 6, 2009 by phone, email, or overnight mail to confirm eligibility and compliance with Official Rules.  
Contest Entities are not responsible for and shall not be liable for late, lost, misdirected, or unsuccessful efforts to notify
the winner. Winner is required to furnish a signed Affidavit of Eligibility, Release of Liability and Publicity Release form,
within seven (7) days of acknowledged notification. If a selected winner cannot be contacted, is ineligible, fails to claim a
prize, or fails to timely return the completed and executed affidavit and releases as required, prize may be forfeited at
Contest Entities' sole discretion and an alternate winner will be selected.


10.        CONDITIONS OF PARTICIPATION: There is no warranty of any kind from Contest Entities, expressed or implied,
without limitation, except where this would be contrary to federal, state, provincial, or local law or regulation. All federal,
state, provincial and local laws and regulations apply. By submitting an entry into this Contest, contestants agree: (a) to
be bound by these Official Rules; (b)that the decisions of the Contest Entities are final on all matters relating to the
Contest; (c) contestant is not participating on behalf of any employer or third party; (d) if contestant is a party to any
third party agreement with a record label, production company, publishing company, or any other third party, such
agreement does not interfere with contestant's participation in this Contest and/or receipt of the prize awarded; (e)
responsibility and liability for entering this contest when prohibited by law is that of the contestants. Selected winner will
be required to sign and return an Affidavit of Eligibility, Release of Liability and Publicity Release form within seven (7)
days following the date of first attempted notification. Failure to comply within this time period may result in
disqualification and selection of an alternate winner. The intellectual and industrial property rights to the contest
submission, if any, will remain with the participants, except that these terms do not supersede any other assignment or
grant of rights according to any other separate agreements between participants and other parties. To the extent
permitted by law, entrants agree to hold Contest Entities harmless from any injury or damage caused or claimed to be
caused by participation in the Contest and/or use or acceptance of any prize won. Contest Entities are not responsible
for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of
the prize. A participant may be prohibited from participating in this Contest if, at Contest Entities' sole discretion, it
reasonably believes that the participant has attempted to undermine the legitimate operation of this Contest by
cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other participants,
Contest Entities, or associated agencies. All registrations and votes become the property of Sponsor. They will not be
returned or acknowledged. Sponsor is not responsible for lost, late, misdirected, incomplete, illegible entries, contest
music, or votes, or for any computer-related, online, telephonic, or technical malfunctions that may occur. Registration,
votes, and contest music will be considered void if they are in whole or in part illegible, incomplete, damaged, irregular,
altered, counterfeit, produced in error, forged, mechanically reproduced, or obtained through fraud or theft.


11.        GOVERNING LAW: To the extent permitted by law, the rights to litigate, to seek injunctive relief or to make any
other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this
contest are hereby excluded, and any participant expressly waives any and all such rights. Participants agree that these
Official Rules are governed by the laws of the state of Alabama, USA.


12.        PRIVACY POLICY: Participants agree that personal data, especially name and address, may be processed,
stored and otherwise used for the purposes and within the context of the contest and any other purposes outlined in
these Official Rules. The data may also be used by Contest Entities in order to check participants' identity, their postal
address and telephone number, or to otherwise verify their eligibility to participate in the Contest and to receive any
notice. If participant's data is not provided, participants' Submissions will be ineligible.


13.        WARRANTY AND INDEMNITY: Each entrant certifies that his or her Submission is original and that he or she is
the sole and exclusive owner and rights holder of the Submission, and that he or she has the right to submit the entry in
the Contest. Each entrant agrees not to submit any Entry that (1) infringes any 3rd party proprietary, intellectual
property, industrial property, personal rights or other rights, including without limitation, copyright, trademark, patent,
trade secret or confidentiality obligation; (2) contains a computer virus, is otherwise corrupted, is not wholly original with
Entrant, and as of the date of submission, is the subject of any actual or threatened litigation or claim; (3) does not have
the proper clearances for the names of any band members, their personally identifiable information and their
performances contained in the Submission; or (2) otherwise violates applicable law in any countries in the world. To the
maximum extent permitted by law, each entrant indemnifies and agrees to keep indemnified Contest Entities  harmless at
all times from and against any liability, claims, demands, losses, damages, costs and expenses resulting from any act,
default or omission of the participant and/or a breach of any warranty set forth herein. To the maximum extent permitted
by law, each participant indemnifies and agrees to keep indemnified Contest Entities harmless at all times from and
against any liability, actions, claims, demands, losses, damages, costs and expenses for or in respect of which Contest
Entities will or may become liable by reason of or related or incidental to any act, default or omission by a participant
under these Official Rules including without limitation resulting from or in relation to any breach, non-observance, act or
omission whether negligent or otherwise, pursuant to these official rules by a participant.


14.        ELIMINATION: Any false information provided within the context of the Contest by any participant concerning
identity, postal address, telephone number, ownership of right or non-compliance with these rules or the like may result
in the immediate elimination of the participant from the Contest. Contest Entities further reserve the right to disqualify
any  Submission that it believes in its sole and unfettered discretion infringes upon or violates the rights of any third
party or otherwise does not comply with these official rules.


15.        SEVERABILITY: If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining
provisions hereof will remain valid and enforceable.


16.        WINNER/OFFICIAL RULES: The winner of this contest and these Official Rules will be made available online at
http://www.promotionsnxs.com/contests. To receive a copy of one or both documents, send a self-addressed, stamped
envelope to Unsigned Artist Contest Winner/Rules, P.O. Box 66336, Mobile, AL 36660. Requests for winner's name
must be received no later than February 28, 2010. Residents of Vermont and Washington state may omit return
postage.
